Welcome to mbrsdigital® (“we”, “our”, or “us”). By accessing our website mbrsdigital.co.uk or engaging with our services, you agree to be bound by these Terms and Conditions. Please read them carefully before using our website or entering into any agreement with us.
1. Overview of Services
mbrsdigital® is a creative agency based in Birmingham, operating globally. We offer digital services including but not limited to:
• Website Design & Development
• Branding & Graphic Design
• Marketing Strategy & Media Buying
• Video Production & Editing (including Wedding Videography)
• Social Media Content & Management
We work with both in-house and remote creative professionals to deliver a high-quality experience for our clients.
2. Engagement Terms
2.1. Project Agreement
All client engagements are confirmed upon signing a service agreement and receipt of the first payment. Work will not begin until both are complete.
2.2. Minimum Commitment
We require a minimum commitment of 3 months for all retainer or monthly service agreements unless otherwise stated in writing.
2.3. Cancellation & Notice Period
Clients may terminate services with a minimum 7-day written notice prior to the next billing cycle. Any services completed or time allocated during that period will be charged accordingly.
3. Payments & Billing
• Initial payment is due immediately upon contract signing.
• Subsequent payments will be automatically billed every 30 days, starting from the date the first marketing campaign or project work goes live, or a mutually agreed date if no marketing services are involved.
• Late payments may result in paused services until outstanding balances are cleared.
• All prices are quoted in GBP (£) unless otherwise stated.
4. Confidentiality
Clients agree to keep all pricing, deliverables, internal communication, and strategy documents confidential for a minimum of 3 years from the project start date.
5. Intellectual Property
• Unless otherwise agreed in writing, all intellectual property created by mbrsdigital® during the course of the project will remain the property of mbrsdigital® until full payment has been received.
• Upon full payment, ownership of final deliverables (excluding working files and source documents unless specified) is transferred to the client.
• We reserve the right to display completed work in our portfolio unless bound by a separate NDA.
6. Disclaimer of Guarantees
While we commit to delivering services at a high standard:
• We do not guarantee specific outcomes, such as increased sales, traffic, or business growth.
• Results may vary based on factors beyond our control, including market trends, client implementation, and third-party platform algorithms.
7. Liability Limitations
mbrsdigital® will not be held liable for:
• Any direct, indirect, or consequential loss or damage arising from the use of our services or website.
• Any loss of profits, revenue, or business opportunities resulting from the work we deliver.
• Any interruptions or delays due to force majeure events or third-party service failures.
8. Use of Subcontractors
To maintain flexibility and affordability, we may outsource certain services to trusted freelancers or external partners. All contractors are held to the same confidentiality and quality standards we uphold.
9. Revisions & Approvals
Clients will be provided opportunities to review and request reasonable revisions throughout the project. If revision rounds exceed what is agreed in the service agreement, additional charges may apply.
10. Website Usage Terms
• You must not misuse our site by knowingly introducing viruses, Trojans, or other material which is malicious or harmful.
• We reserve the right to restrict access to any part of our site at any time without notice.
11. Changes to These Terms
We reserve the right to modify these Terms and Conditions at any time. Changes will be updated on this page with a revised “Effective Date”. Continued use of our website or services after such changes indicates your acceptance of the revised terms.
12. Governing Law
These Terms and Conditions are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
